1. Introduction and Acceptance

These Terms of Service (“Terms”) govern your use of Angle, a Shopify application developed and operated by ninepointeight studio inc. (“Angle”, “we”, “our”, or “us”). By installing or using Angle through your Shopify store, you (“Merchant”, “you”, or “your”) agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not install or continue using the application.

These Terms form a legally binding agreement between you and ninepointeight studio inc. Your use of Angle is also subject to Shopify’s own terms and policies, as the application operates within Shopify’s platform and relies on its infrastructure for installation, data access, and billing.

By continuing to use Angle after any update to these Terms, you accept the revised version. If you do not agree with the changes, you must uninstall the application.

2. Description of Service

Angle is an AI-powered sales agent designed to work inside Shopify storefronts. It helps shoppers discover products, find answers to common questions, and make informed purchase decisions through a natural conversational interface.

Angle processes product information, store content, and customer questions to generate relevant responses and product recommendations. The application is embedded within the merchant’s storefront through a chat widget, search bar, or popup, and integrates with the Shopify product catalog and merchant-provided content.

Angle does not modify the Shopify checkout process, does not process payments directly, and does not replace Shopify’s core commerce functionality. It operates as an AI layer that sits on top of a store to enhance the shopper experience.

The specific features and limits available to you depend on the subscription plan you select.

3. Account and Access

Access to Angle requires an active Shopify store and installation through the Shopify App Store. You are responsible for maintaining the security of your Shopify account and for ensuring that only authorized individuals have access to your store and its connected applications.

Angle operates based on the permissions granted during installation. These permissions allow access to specific store data required to provide the service, including product data, theme files, basic store information, and order information for order tracking purposes. You agree not to interfere with or restrict these permissions in a way that prevents the application from functioning as intended.

ninepointeight studio inc. reserves the right to restrict or suspend access to the service if unauthorized use is detected, if the service is being used in violation of these Terms, or if required to protect the integrity, security, or availability of Angle for all merchants.

4. Subscription Plans and Billing

Angle offers multiple subscription plans, including a Free plan and paid plans with varying usage limits and features. Current pricing and plan details are available on our website at askangle.com and within the Shopify App Store listing.

Billing for standard plans is handled primarily through Shopify’s billing infrastructure. When you subscribe to a paid plan, charges are applied to your Shopify account in accordance with Shopify’s billing cycle. Plan changes, cancellations, and refund requests for standard plans are subject to Shopify’s billing policies.

Custom plans may be billed separately through direct arrangement between you and ninepointeight studio inc. The specific terms of any custom plan will be documented in a separate agreement or invoice.

ninepointeight studio inc. does not override Shopify’s billing policies for standard plans. For questions related to charges, refunds, or billing disputes on standard plans, please refer to Shopify’s billing system in the first instance.

5. Free Trial

Paid plans include a 14-day free trial unless otherwise stated. During this period, you may use the selected plan’s features without being charged, allowing you to evaluate the application within your store environment.

The free trial is managed through Shopify’s billing system. If you continue using Angle after the trial period ends, Shopify will automatically begin billing according to the selected plan.

You are responsible for monitoring the trial period and uninstalling the application or changing plans if you do not wish to continue. Failure to do so before the trial ends will result in standard billing through Shopify.

6. Acceptable Use

You agree to use Angle only for lawful purposes and in connection with legitimate commercial activity within your Shopify store. You must not use the service in a way that violates any applicable laws, regulations, or third-party rights, or that interferes with the normal operation of the application.

You must not attempt to reverse engineer, decompile, manipulate, or exploit the AI decision-making process of Angle. You must not use Angle to process fraudulent orders, misrepresent products, or intentionally mislead customers.

You must not use Angle to generate or distribute content that is unlawful, harmful, defamatory, discriminatory, or otherwise inappropriate. You are responsible for the content and configuration of your store and for any instructions, prompts, or training data you provide to Angle.

ninepointeight studio inc. reserves the right to investigate suspected misuse and to take appropriate action, including suspension or termination of access, to maintain the reliability and integrity of the service for all merchants.

7. Service Limitations and AI Disclaimers

Angle provides AI-generated product recommendations and conversational responses based on the data available from your Shopify store, the content you provide, and third-party language models. While we work to make the service accurate and helpful, AI outputs are probabilistic and may occasionally produce incorrect, incomplete, or unexpected results.

Angle is a decision-support and sales enablement tool. It is not a substitute for professional advice of any kind, including but not limited to medical, legal, financial, or safety advice. Angle does not guarantee the accuracy, completeness, or suitability of its responses for any specific purpose.

If your store sells products in regulated categories, including but not limited to health, wellness, medical, dietary, financial, or legal products, you are solely responsible for ensuring that the use of Angle on your store complies with all applicable laws and regulations in the jurisdictions where you sell. This includes ensuring that your store contains appropriate disclaimers, warnings, and legal notices, and that the conversational responses generated by Angle do not constitute regulated advice.

ninepointeight studio inc. does not guarantee uninterrupted availability, error-free operation, or specific performance outcomes from the use of Angle. The service is provided on an as-is and as-available basis.

8. Merchant Responsibilities

You are the data controller for all customer data processed through your Shopify store. By installing Angle, you authorize ninepointeight studio inc. to process this data on your behalf solely for the purpose of providing the service. You remain responsible for ensuring that your use of Angle complies with applicable data protection laws, including GDPR, CCPA, and any other regulations relevant to your jurisdiction.

You are responsible for maintaining your own privacy policy, terms of service, and any legally required disclaimers on your Shopify store. Your privacy policy must disclose the use of third-party applications, including Angle, and explain how customer data is processed.

You are responsible for the content you make available to Angle, including product descriptions, FAQs, policies, and any custom training data or prompts. You are responsible for reviewing and testing the responses Angle generates on your store and for adjusting the configuration as needed to meet your standards.

If you operate in a regulated industry, you are responsible for ensuring that the conversational experience provided by Angle on your store meets the legal and regulatory requirements of that industry, including the presence and wording of appropriate disclaimers.

9. Chat Content and Data Ownership

All chat sessions, conversations, customer questions, and responses generated on your Shopify store through Angle belong to you as the Merchant. ninepointeight studio inc. acts as a data processor on your behalf and does not claim ownership of this content.

You retain full rights to the chat content generated on your store. ninepointeight studio inc. may process this content solely to provide the service, improve performance for your store, and fulfil its obligations under these Terms. We do not use your merchant-specific chat content to train general AI models outside of the service we provide to you.

Upon termination of your use of Angle, we will cease processing your chat content and delete it in accordance with our data retention practices described in our Privacy Policy.

10. Intellectual Property

All rights, title, and interest in Angle, including its software, design, branding, documentation, and underlying technology, are owned by ninepointeight studio inc. Your use of the application does not transfer any ownership rights to you.

You are granted a limited, non-exclusive, non-transferable, revocable right to use Angle solely for your internal business purposes within your Shopify store, for as long as you comply with these Terms and maintain an active installation.

You must not copy, modify, distribute, sublicense, or create derivative works based on Angle or any part of it. Any unauthorized use of the application or its components is strictly prohibited and may result in immediate termination of access and legal action.

You retain all rights to your store content, including product data, brand assets, and the chat content generated on your store as described in Section 9.

11. Data Processing and Privacy

Angle processes merchant and customer data strictly as described in our Privacy Policy, available at https://app.askangle.com/privacy. This includes product data, store content, customer questions submitted through the chat interface, and limited order information for order tracking purposes.

ninepointeight studio inc. acts as a data processor on your behalf. We do not sell customer data, and we do not use customer personal data for marketing purposes.

We use third-party services, including large language model providers, to power certain features of Angle. These services process data as required to deliver functionality. Details of the third-party services we rely on are disclosed in our Privacy Policy.

You acknowledge that by using Angle, data may be processed through these third-party services in accordance with their respective terms and privacy practices.

12. Indemnification

You agree to indemnify, defend, and hold harmless ninepointeight studio inc., its directors, employees, and affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from or related to your use or misuse of Angle, your violation of these Terms, your violation of any applicable law or regulation, any content, products, or services offered on your Shopify store, any claim made by your customers or third parties in connection with the operation of your store (including claims arising from AI-generated responses on your store), or your failure to maintain appropriate disclaimers, privacy policies, or compliance measures for your industry.

This obligation applies to claims regardless of whether they arise from your own actions, your customers’ actions, or third-party actions related to your use of the service.

13. Limitation of Liability

To the fullest extent permitted by law, ninepointeight studio inc. shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from or related to your use of Angle. This includes but is not limited to loss of revenue, loss of profits, loss of business opportunities, loss of data, reputational damage, or service interruptions.

The service is provided on an as-is and as-available basis, without warranties of any kind, whether express or implied. ninepointeight studio inc. does not warrant that the service will be uninterrupted, error-free, secure, or free from harmful components, or that AI-generated responses will be accurate or suitable for any specific purpose.

In all cases, the total aggregate liability of ninepointeight studio inc. arising from or related to these Terms or your use of Angle shall not exceed the total amount paid by you for the use of Angle during the twelve (12) months preceding the event giving rise to the claim. If you use Angle on a free plan and have not paid any fees, the total aggregate liability shall not exceed one hundred Canadian dollars (CAD $100).

This limitation reflects the nature of the service, the fees charged, and the allocation of risk between the parties.

14. Termination

You may terminate your use of Angle at any time by uninstalling the application from your Shopify store. No notice period is required, and termination takes effect immediately upon uninstall.

Upon termination, we will cease processing your store data and will delete or anonymize your data in accordance with our Privacy Policy and Shopify’s data deletion requirements. Standard practice is to complete data deletion within a reasonable period following termination.

ninepointeight studio inc. reserves the right to suspend or terminate your access to Angle at any time if you violate these Terms, if your use creates risk or exposure for us or for other merchants, or if required by law. Termination may occur with or without prior notice depending on the nature and severity of the situation.

Sections of these Terms that by their nature should survive termination, including but not limited to Sections 9 (ownership of chat content), 10 (intellectual property), 12 (indemnification), 13 (limitation of liability), and 16 (governing law), will survive any termination of these Terms.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in the service, legal requirements, or operational practices. Updates will be published on our website, and where appropriate, merchants may be notified through the Shopify admin interface or by email.

Any changes will apply going forward from the date of publication and will not retroactively affect prior use of the service. You are responsible for reviewing these Terms periodically to stay informed of any updates.

Continued use of Angle after updates are published constitutes acceptance of the revised Terms. If you do not agree with the changes, you must uninstall the application.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising from or related to these Terms or your use of Angle will be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada. You agree to submit to the personal jurisdiction of such courts for the purpose of resolving any such disputes.

Nothing in this section limits any rights you may have under applicable consumer protection laws in your jurisdiction, where such laws apply and cannot be waived by contract.
